Finerise assists clients in registering International Business Companies (IBCs) in the British Virgin Islands (BVI), one of the world's leading offshore financial centres. The information below is based on the BVI Business Companies Act (as amended) and BVI Financial Services Commission (FSC) guidance.
≡ Advantages of BVI IBC Formation
- - Zero tax on offshore income – No corporate income tax, capital gains tax, or withholding tax on income derived from outside the BVI.
- - No minimum paid-up capital – No statutory minimum capital requirement. Standard authorised capital is USD 50,000.
- - 100% foreign ownership – No local shareholder or director required.
- - Confidentiality protections – Shareholder and director details are not part of the public record.
- - No audit requirement – IBCs are generally not required to file audited accounts with the BVI authorities.
- - Fast incorporation – Standard processing takes 2-5 working days.
≡ Core Requirements for BVI IBC Registration
- Company name – English name required, ending with "Limited", "Ltd", "Corporation", "Inc", or equivalents. Name approval required.
- Registered office and registered agent – Every BVI company must maintain a registered office and appoint a registered agent in the BVI. Finerise provides these services through our licensed BVI partner.
- Shareholders – Minimum one shareholder (individual or corporate). No nationality restrictions.
- Directors – Minimum one director (individual or corporate). Corporate directors permitted. No residency restrictions.
- Share capital – No minimum requirement. Standard authorised capital is USD 50,000.
- Memorandum and Articles of Association – Must be prepared and submitted to the Registrar. Finerise prepares these documents.
≡ Registration and Filing Requirements
- Register of Members (ROM) – Every BVI company must file its Register of Members with the Registrar. New companies (incorporated on or after 1 July 2025) must file within 30 days of incorporation. Existing companies (incorporated before 2 January 2025) had a filing deadline of 1 January 2026 (extended by six months).
- Beneficial Ownership (BO) filing – Companies incorporated, registered or continued in the BVI on or after 1 July 2025 are required to file beneficial ownership information with the Registrar via the VIRRGIN platform within 30 days of incorporation.
