Finerise assists clients in registering exempted companies in the Cayman Islands, one of the world's most respected offshore financial centres. The exempted company is the most common form of offshore vehicle in the Cayman Islands, governed by the Companies Act (2025 Revision) of the Cayman Islands. The information below is based on the Companies Act (as revised) and the Companies (Amendment) Act, 2024 (effective 1 January 2026), as well as applicable economic substance and beneficial ownership regulations.
≡ Advantages of Cayman Islands Exempted Company Formation
- - No direct taxes – Cayman Islands exempted companies are subject to no corporate income tax, capital gains tax, withholding tax, or any other direct taxes on offshore income. Dividends, interest, royalties, and capital gains from non‑Cayman sources are not taxable.
- - Tax Exemption Undertaking – An exempted company may obtain a renewable undertaking from the Cayman Islands Government that it will not be subject to any future taxes for a period of 20 years (extendable to 30 years on special application).
- - No minimum share capital – There is no statutory minimum share capital requirement. Standard authorised share capital is USD 50,000, but no amount needs to be paid up at incorporation.
- - 100% foreign ownership – No local shareholder or director is required. Shareholders and directors may be individuals or corporate entities of any nationality.
- - Confidentiality protections – The register of shareholders is not open to public inspection. Only basic details (company name, registered office, registered agent) appear on the public file.
- - No annual general meeting (AGM) requirement – Exempted companies are not required to hold an AGM in the Cayman Islands, nor are they required to file annual returns disclosing shareholder details.
- - Fast incorporation – Standard processing takes 5-7 working days; expedited service (24 hours) is available.
≡ Core Requirements for Cayman Islands Exempted Company Registration
- Company name – English name required. Exempted companies are not required to include a corporate suffix such as "Limited", "Ltd", "Inc", or "Corporation". Names containing restricted words require prior approval. Name can be reserved for up to 90 days.
- Registered office and registered agent – Every Cayman Islands exempted company must maintain a registered office and appoint a registered agent in the Cayman Islands. The registered agent must be a licensed Corporate Service Provider (CSP). Finerise provides these services through our licensed Cayman partner.
- Shareholders – Minimum one shareholder (individual or corporate). No nationality restrictions. Bearer shares are not permitted. Shareholder details are not part of the public file.
- Directors – Minimum one director (individual or corporate). Corporate directors permitted. No residency restrictions. A register of directors must be maintained at the registered office, and a copy must be filed with the Registrar. Changes to the register of directors must be filed within 30 days.
- Company secretary – Optional, not required by law.
- Share capital – No minimum requirement. Standard authorised capital is USD 50,000. Shares may be with or without par value. No paid-up capital requirement at incorporation.
- Memorandum and Articles of Association (M&A) – Must be prepared and submitted to the Registrar. Finerise prepares these documents.
≡ 2025/2026 Legislative Updates – Companies (Amendment) Act, 2024
The Cayman Islands Companies (Amendment) Act, 2024 came into effect on 1 January 2026, introducing several modernising changes to the Companies Act. Key amendments include:
- - Reduction of share capital without court approval – A solvent company may reduce its share capital by special resolution supported by a solvency statement, eliminating court proceedings. The solvency statement must be filed with the Registrar within 15 days after the resolution is passed.
- - Redemption of fractional shares – Fractional shares may be redeemed where permitted by the company's articles of association.
- - Continuation provisions expanded – Foreign bodies corporate with limited liability may now apply to be registered by way of continuation as an exempted company.
- - Conversion of LLC or foundation company to exempted company – Permitted under the new provisions.
≡ Economic Substance (ES) Requirements
The Cayman Islands has implemented economic substance legislation under the International Tax Co‑operation (Economic Substance) Act (2026 Revision).
- - Economic Substance Notification (ESN) – All entities (including exempted companies) must submit an annual ESN to the Department for International Tax Co‑operation (DITC) by 31 January each year. The ESN is a prerequisite for filing the annual return.
- - Relevant activities – Nine categories: banking, insurance, fund management, financing and leasing, headquarters, shipping, intellectual property, distribution and service centres, and holding company (pure equity holding).
- - Pure equity holding companies – Subject to reduced substance requirements (must comply with all filing obligations but are not required to have physical presence or employees).
- - Economic Substance Return (ESR) – Entities that carry on relevant activities must file an ESR within 12 months after the end of the relevant financial year, demonstrating core income‑generating activities in the Cayman Islands, adequate operating expenditure, physical presence, and personnel.
- - Penalties for non‑compliance – Failure to submit an ESN or ESR on time may result in administrative penalties. Continued non‑compliance may lead to higher penalties and striking off.
≡ Beneficial Ownership (UBO) Transparency
The Beneficial Ownership Transparency Act (Revised) (BOTA) came into full effect on 1 January 2025, consolidating and expanding on previous UBO regulations. Key requirements include:
- - Duty to maintain beneficial ownership register – Every Cayman Islands exempted company must establish and maintain a Register of Beneficial Owners (ROBO), recording individuals who ultimately own or control 25% or more of the shares or voting rights, or who otherwise exercise ultimate effective control.
- - Update deadline – Changes to the beneficial ownership register must be reported to the corporate service provider within 30 days of discovery of the change, and the provider must update the competent authority.
- - Alternative route to compliance – Certain entities (e.g., listed companies, regulated funds) may qualify for an alternative route, designating a contact person to provide BO information within 24 hours of a request.
- - Access restrictions – The BO register is not open to public inspection. It is accessible only to competent authorities upon lawful request.
- - Penalties for non‑compliance – Failure to maintain an accurate BO register may result in penalties. For first offences, penalties may include administrative fines; repeated non‑compliance may lead to higher fines and striking off.
≡ Annual Compliance and Obligations
- Economic Substance Notification (ESN) – Due 31 January each year, before the annual return can be filed. Finerise assists with preparation and submission.
- Annual Return – Exempted companies must file an annual return with the Registrar of Companies by 31 January each year (final deadline 31 March before penalties accrue).
