Permitted Functions of a China Representative Office
- Conduct market research and surveys for the parent enterprise in the local market.
- Liaise with local and foreign contacts in China on behalf of the parent enterprise.
- Provide data and promotional materials to potential clients or trading partners.
- Act as a coordinator for the parent enterprise's activities in China.
- Make travel arrangements for parent enterprise representatives and potential Chinese clients.
Activities Strictly Prohibited for a China RO
- Directly engage in any business for profit.
- Sign contracts or deals on behalf of the parent enterprise.
- Represent any firm other than its parent enterprise.
- Collect money or issue invoices within China for services or products.
- Buy property or import production equipment.

Key Features of a Representative Office
1. Legal Status
The RO is a non-legal entity operating in China as a representative of its parent company overseas. It cannot independently bear civil liability. This is the principal structural difference from a WFOE, Joint Venture or Partnership, all of which are separate legal persons — see the China Entity Comparison for the liability and control implications.
2. Name Format
The name of the Representative Office must follow the format: "Name of the Enterprise + Name of the City + Representative Office". The name must be written in Chinese and approved by the local Administration for Market Regulation.
Documents and Information Required
- Application for registration of establishment of representative office.
- Domicile certification of the foreign enterprise and business license valid for more than 2 years.
- Articles of association or organization agreement of the foreign enterprise.
- Commission documents issued by the foreign enterprise to chief representative and representative(s).
- Identification papers and resumes of chief representative and representative(s).
- Certificate of capital credit issued by a financial institution having business ties with the foreign enterprise.
- Authorization documents or certificate issued by the authorized signatory of the foreign enterprise.
