Forming a WFOE in China – WFOE Registration Conditions & Establishment Process
A Wholly Foreign-Owned Enterprise (WFOE) is a limited liability company established in China by foreign investors, where 100% of the capital is subscribed by the foreign investor(s). Since the implementation of the Foreign Investment Law in 2020, the WFOE has become the mainstream legal form for foreign investors entering the Chinese market, offering independent operational rights, full profit repatriation, and independent IP protection.
Not sure whether a WFOE is the right structure? Compare all five entity types — WFOE, Joint Venture, Partnership, Representative Office and Foreign Branch — side by side in the
China Entity Comparison. If you are also considering a Hong Kong holding company above the WFOE, or comparing a Hong Kong company with a mainland entity, see the
Hong Kong vs Mainland Company comparison.
Legal Advantages of a WFOE
- Full control: Foreign investors retain 100% equity and management control.
- Independent legal personality: Shareholder liability is limited to the subscribed capital.
- Business flexibility: Outside the Negative List, you can freely conduct business, hire staff, issue invoices, and settle cross‑border funds.
Industry Access – Negative List Overview
Before setting up a WFOE, the most critical step is verifying whether your intended business scope falls into the Negative List for Foreign Investment. The list categorises industries into three types:
| Category |
Allowed? |
Typical Examples |
Approval Requirement |
| Prohibited |
No |
News, broadcasting, film production, rare earth mining |
Not available |
| Restricted |
Yes, with conditions |
Automobile manufacturing (equity cap), value‑added telecom, medical institutions |
Pre‑approval required |
| Permitted |
Yes, full access |
Wholesale/retail, consulting, IT services, general manufacturing |
Standard registration only |
The 2024 version of the Negative List contains 29 restricted items. We strongly recommend a compliance check before committing to a lease or business plan. If your activity is restricted and requires a Chinese partner, see Joint Venture LLC Formation as an alternative structure.
Core Registration Conditions & Required Documents

- Articles of Association: Must comply with the Company Law and the Foreign Investment Law.
- Registered capital: No minimum (except special industries). Under the revised Company Law, capital must be fully paid within 5 years. See Registered Capital Requirements for the contribution rules.

- Pre‑access approval (only for restricted industries).
- Industrial and commercial registration & foreign investment information report.

WFOE Setup Cost Estimate
The total cost of setting up and operating a WFOE depends on the city, industry, address requirements, and whether you need work permits and ongoing accounting. Typical components include:
- Government registration fees
- Registered address (or virtual office) annual fee
- Monthly accounting & tax filing
- Annual audit report
- Work permit & residence permit (per employee)

Important Compliance Notes
- Negative list verification: Confirm your business scope category before proceeding.
- Document authentication: Apostille from Hague Convention countries is now accepted by China.
- Capital contribution period: Must be fully paid within 5 years of establishment.
- Ongoing compliance: Annual information report (Jan 1 – Jun 30 each year) and tax filings. See Annual Return Filing and Bookkeeping & Tax Filing.
If the WFOE will employ foreign staff, the work permit and residence permit must be sponsored by the WFOE itself — not by a third-party EOR or group affiliate. From
15 September 2026, State Council Decree No. 841 makes truthfulness a legal obligation for every China visa and entry application. A work permit arranged through an entity that is not the actual employer, or a visa category inconsistent with the actual purpose of stay, may result in a
one-to-five-year prohibition on entry for the foreign national and administrative penalties for the sponsoring entity. The WFOE is the entity that will sponsor the work permit, and the employment contract, the work permit application and any invitation letter must be consistent with each other. See the
Exit-Entry Compliance 2026 guide for the statutory basis, the employer checklist, and the penalty comparison under Decree No. 841 and the Exit and Entry Administration Law.
Frequently Asked Questions
Can a foreigner 100% own a WFOE in China?
Yes. A WFOE allows 100% foreign ownership, except in industries listed on the Negative List as restricted or prohibited. For permitted industries, no Chinese partner is required.
What is the minimum registered capital for a WFOE?
There is no statutory minimum capital requirement for most industries. However, registered capital must be fully paid within 5 years of incorporation under the revised Company Law. We recommend subscribing an amount that realistically meets your business needs. For the detailed contribution rules, see Registered Capital Requirements.
How long does it take to register a WFOE in Guangzhou or Foshan?
Without pre-approval, business licence issuance typically takes 3‑5 working days. The full setup including tax registration and bank account opening takes about 1‑2 months. Restricted industries requiring pre-approval may add another 1‑2 months.
Do I need to visit China to set up a WFOE?
For the registration process itself, physical presence is not mandatory if you grant a Power of Attorney to a registered agent (like Finerise). However, the legal representative may need to appear in person for bank account opening, depending on the bank's requirements.
What documents are required to register a WFOE?
Key documents include: investor's notarised and apostilled identification/registration certificate, company name pre-approval, articles of association, business premises certificate, legal representative and director appointments, and a detailed business scope description. All foreign-language documents must be translated into Chinese by a certified agency.
